<h2>1. Parties</h2>
<p>This Vehicle Sale Agreement ("Agreement") is entered into on <strong>{{date}}</strong> between:</p>

<h2>2. Vehicle Identification</h2>
<p>The Seller agrees to sell, and the Buyer agrees to purchase, the following vehicle (the "Vehicle"):</p>

<h2>3. Purchase Price &amp; Payment</h2>
<p>The total purchase price for the Vehicle is <strong>{{currency}} {{salePrice}}</strong>, payable per the invoice issued together with this Agreement.</p>
<p>Payment must be initiated <strong>within forty-eight (48) hours</strong> of order confirmation. Failure to pay within this window may result in the Vehicle being re-listed and the Buyer's account being suspended, in accordance with the published RepoMarket terms.</p>
<p>Accepted payment methods: Visa, American Express, Discover, ACH, Wire Transfer, and approved cryptocurrency. All funds are held in escrow until clearance.</p>

<h2>4. Title &amp; Ownership Transfer</h2>
<p>Title and risk of loss in the Vehicle shall pass to the Buyer upon (a) full clearance of funds and (b) physical delivery to the Buyer's confirmed address. Until both conditions are satisfied, the Vehicle remains the legal property of the Seller.</p>
<p>The Seller will provide a clean title, free of any prior liens, together with all transferable documentation (registration, odometer disclosure, and where applicable, emissions certificate).</p>

<h2>5. Vehicle Condition &amp; Inspection</h2>
<p>The Vehicle is sold based on the inspection report, photos, and condition disclosures published on the listing page. The Buyer acknowledges that:</p>
<ul>
  <li>The Vehicle is a previously-repossessed unit sourced from a lender or fleet operator;</li>
  <li>All material defects known to the Seller have been disclosed in the listing;</li>
  <li>The Buyer had a reasonable opportunity to review photos, inspection notes, and request additional information prior to bidding or purchasing.</li>
</ul>

<h2>6. Limited Warranty</h2>
<p>The Vehicle is covered by a <strong>6-Month / 10,000-Mile Limited Warranty</strong>, whichever occurs first, beginning on the date the Buyer takes possession. The warranty covers powertrain defects (engine, transmission, drive axle) and major electrical failures not caused by misuse, modification, or neglect. Wear items, cosmetic damage, and consumables are excluded.</p>

<h2>7. 14-Day Return Policy</h2>
<p>The Buyer may return the Vehicle for refund or exchange within <strong>fourteen (14) days</strong> of the documented delivery date, provided that:</p>
<ul>
  <li>The Vehicle has been driven no more than 500 miles since delivery;</li>
  <li>It is returned in the same condition received, free of new damage;</li>
  <li>The Buyer notifies RepoMarket support in writing within the 14-day window.</li>
</ul>
<p>Return shipping is arranged by the Seller. A reconditioning fee of up to {{currency}} 350 may be deducted from the refund if mileage or condition limits are exceeded.</p>

<h2>8. Delivery</h2>
<p>The Seller will arrange delivery via a licensed and insured auto-transport carrier. Delivery is provided complimentary within a 1,000-mile radius of origin; for distances beyond 1,000 miles, a flat rate of {{currency}} 0.70 per additional mile applies. Expected transit times: up to 14 days within the United States, up to 22 days to Canada.</p>
<p>The Buyer may track the shipment in real time via the buyer dashboard at <code>/dashboard/orders/{{orderId}}/shipping</code>.</p>

<h2>9. Bidding Acknowledgement (Auction Purchases)</h2>
<p>If this Vehicle was acquired via auction, the Buyer acknowledges that:</p>
<ul>
  <li>RepoMarket operates a blind auction format — bidders cannot see other participants' offers;</li>
  <li>Bids are binding once placed;</li>
  <li>Anti-sniping protection extends auction end-times by up to 5 minutes when last-second bids are received.</li>
</ul>

<h2>10. Buyer Verification</h2>
<p>The Buyer confirms that the identity documents provided during account verification are authentic and current. Vehicle release is contingent on a verified buyer status (VERIFIED_BUYER role) at the time of payment.</p>

<h2>11. Limitation of Liability</h2>
<p>Except for the express Limited Warranty and the 14-Day Return right above, the Seller's total liability under this Agreement is limited to the purchase price of the Vehicle. The Seller is not liable for incidental, consequential, or punitive damages arising from the use or possession of the Vehicle.</p>

<h2>12. Governing Law &amp; Disputes</h2>
<p>This Agreement is governed by the laws of the jurisdiction in which the Seller maintains its principal place of business. Any dispute first proceeds to good-faith negotiation, then to binding arbitration before resort to courts of competent jurisdiction.</p>

<h2>13. Acceptance</h2>
<p>By signing below, the Buyer:</p>

<h2>2. Account &amp; Verification</h2>

  <li>Registration is free; you create an account and verify your identity with a government-issued ID before bidding or purchasing.</li>
  <li>Verification is required to ensure transaction security, prevent fraud, and meet the legal requirements that apply to vehicle sales.</li>
  <li>You confirm the documents uploaded during ID verification are authentic and current. False or doctored documentation will result in immediate suspension and forfeiture of pending purchases.</li>
</ul>

<h2>3. Inventory Sourcing</h2>
<p>RepoMarket lists bank-repossessed vehicles sourced directly from lenders and fleet operators. Vehicles are stored at various carrier locations and are not available for in-person inspection by default; all condition information is published online via photos, inspection reports, and listing notes. On-request inspections may be arranged for specific listings — contact support.</p>

<h2>4. Auction Rules</h2>
<ul>
  <li><strong>Blind format:</strong> bidders cannot see other participants' bids. Each bid is independent.</li>
  <li><strong>Binding bids:</strong> once placed, a bid is binding. Cancellations are reviewed case-by-case and only granted in exceptional circumstances.</li>
  <li><strong>Anti-sniping:</strong> bids placed in the final minutes extend the auction end-time by up to 5 minutes per bid, ensuring fair last-call.</li>
  <li><strong>Rate limit:</strong> a buyer may place at most 10 bids per minute on a single listing to prevent system abuse.</li>
  <li><strong>Reserve:</strong> some listings carry an undisclosed reserve price. If the reserve is not met at close, the seller is not obliged to release the Vehicle.</li>
</ul>

<h2>5. Buy It Now</h2>
<p>Verified buyers may purchase eligible listings immediately at the listed Buy Now price. Buy Now requests are reviewed by our team; once approved, the Vehicle is reserved and an invoice is issued.</p>

<h2>6. Payment Terms</h2>
<ul>
  <li>Payment must be initiated within <strong>48 hours</strong> of winning or order confirmation.</li>
  <li>Accepted methods: Visa, American Express, Discover, ACH, Wire Transfer, and approved cryptocurrencies.</li>
  <li>All payment information is encrypted with industry-standard SSL. Full card details are never stored on our servers.</li>
  <li>Funds are held in escrow until the Vehicle is released for delivery.</li>
  <li>Failure to pay on time may result in: (a) the Vehicle being re-listed; (b) suspension of your account; and (c) loss of any bidding deposit on file.</li>
</ul>

<h2>7. Delivery</h2>
<ul>
  <li>Free delivery within a 1,000-mile radius of vehicle origin.</li>
  <li>$0.70 per mile beyond 1,000 miles, regardless of vehicle type.</li>
  <li>Maximum transit: 14 days (US), 22 days (Canada). International shipping by request only.</li>
  <li>Real-time tracking via the buyer dashboard. All vehicles are insured during transport; report damage with photos within 48 hours of delivery.</li>
</ul>

<h2>8. Warranty &amp; Return</h2>
<ul>
  <li><strong>6-Month / 10,000-Mile Limited Warranty</strong> on every vehicle, covering powertrain and major electrical defects.</li>
  <li><strong>14-Day Return Policy:</strong> if the Vehicle does not meet expectations, contact support within 14 days of delivery for refund or exchange. Mileage cap and condition apply.</li>
</ul>

<h2>9. Communications</h2>
<p>You consent to receive transactional emails (order updates, invoices, dunning notices, signing requests) and optional notifications via SMS, Telegram, and push, configurable in your dashboard settings. Critical legal and financial notices will always be delivered by email.</p>

<h2>10. Privacy &amp; Data</h2>
<p>RepoMarket retains your verification documents and transaction history for the period required by tax and anti-money-laundering law (typically seven years), then permanently deletes them. ID document files are stored in private buckets behind signed URLs that expire after one hour.</p>

<h2>11. Account Suspension</h2>
<p>RepoMarket reserves the right to suspend or close any account that:</p>
<ul>
  <li>Fails to complete a confirmed purchase on time;</li>
  <li>Submits fraudulent identity documents;</li>
  <li>Engages in chargeback abuse, payment reversal fraud, or shill bidding;</li>
  <li>Violates any term of this Acknowledgement or the RepoMarket Terms of Service.</li>
</ul>

<h2>12. Disputes</h2>
<p>Disputes are first addressed through good-faith negotiation with RepoMarket support. Unresolved matters proceed to binding arbitration under the rules of the jurisdiction in which RepoMarket maintains its principal place of business, before recourse to courts of competent jurisdiction.</p>

<h2>13. Acknowledgement</h2>
<p>By signing below, I, <strong>{{buyerName}}</strong>, confirm that I have read, understood, and accept the terms set out above. I understand my electronic signature is legally binding and supported by IP address, timestamp, device fingerprint, and a SHA-256 cryptographic audit trail.</p>

  <li>Sign, endorse, and submit any application for certificate of title, registration, transfer of title, or duplicate title;</li>
  <li>Submit odometer disclosure statements as required by federal and state law;</li>
  <li>Pay all taxes, registration fees, and lien-release fees due in connection with the title transfer, charging same to the Grantor's billing on file or invoicing same separately;</li>
  <li>Communicate with the Department of Motor Vehicles (or equivalent provincial authority in Canada), the originating lender, and any prior registered owner to clear liens or correct chain-of-title irregularities;</li>
  <li>Receive and forward to the Grantor the original certificate of title, registration documents, and license plates upon completion;</li>
  <li>Sign delivery receipts, transport bills of lading, and inspection certificates for the carrier engaged to deliver the Vehicle.</li>
</ul>

<h2>5. Acts Expressly Excluded</h2>
<p>This is a <strong>Limited Power of Attorney</strong>. The Attorney-in-Fact is <strong>not</strong> authorised to:</p>
<ul>
  <li>Sell, pledge, or otherwise transfer the Vehicle to any party other than the Grantor;</li>
  <li>Encumber the Vehicle with a lien or financing interest;</li>
  <li>Operate the Vehicle for any purpose other than transport to the Grantor;</li>
  <li>Bind the Grantor to any contract, debt, or obligation unrelated to title transfer of this specific Vehicle.</li>
</ul>

<h2>6. Term</h2>
<p>This Power of Attorney is effective from the date of signature below and remains in force until the earlier of: (a) successful issuance and delivery of the certificate of title to the Grantor; or (b) ninety (90) days from the date of signature. Upon either event, this authority automatically terminates without further action.</p>

<h2>7. Revocation</h2>
<p>The Grantor may revoke this Power of Attorney at any time by written notice delivered to the Attorney-in-Fact at <strong>{{sellerEmail}}</strong>. Revocation does not affect any act lawfully performed before the Attorney-in-Fact received written notice of revocation.</p>

<h2>8. Indemnification</h2>
